Terms of use

Last updated: 22 October 2026

DraftTo be approved by Amaury, ideally reviewed by a lawyer, before going live. English translation of the French version, still to be reviewed. Highlighted fields need to be filled in.

1. Purpose

These terms govern the use of Replexa, an online service published by Apophisia (see the legal notice) for sending outreach email campaigns, centralising replies and handling them with an artificial intelligence agent. Replexa is intended for professionals. Creating an account means you accept these terms.

2. Account and workspace

Your account is personal. You keep your login details confidential and enable two-factor authentication when your workspace requires it. A workspace owner invites members, assigns roles and is responsible for how those members use the service.

3. Trial, subscription and payment

Access to the service requires a subscription. The Growth plan starts with a 7-day free trial, offered once per account: your card is saved when you subscribe and is only charged when the trial ends, unless you cancel before then. The Starter and Scale plans are billed from the day you subscribe. Without an active subscription, the app only shows the plan picker; your workspace data is kept.

The subscription is monthly or yearly, paid in advance by card through Stripe; the yearly subscription costs 10% less than twelve months. Prices on the pricing page include 17% Luxembourg VAT. For a business established in another EU country that provides a valid VAT number, the invoice is issued without VAT (reverse charge by the customer) [to be confirmed with the accountant]. Plan limits (mailboxes, leads, emails, AI credits, members) are enforced automatically.

You can cancel at any time from the application. Cancellation takes effect at the end of the current period, with no refund for the period already started [to be confirmed]. If a payment fails, sending is suspended until it is settled.

4. Acceptable use

You are the sender of the emails sent from your mailboxes. You agree to:

  • comply with the rules that apply to email outreach (GDPR, the ePrivacy Directive and the national laws implementing it);
  • have a legal basis for every recipient, in particular a documented legitimate interest for business-to-business outreach;
  • give every recipient a simple way to unsubscribe, and honour those requests;
  • not use purchased lists without checking where they come from, nor addresses collected unlawfully;
  • not send misleading, unlawful or phishing content.

Apophisia may suspend a workspace that breaks these rules, in particular after abuse reports or an abnormal bounce rate, after informing you where possible.

5. AI agent

The agent drafts suggested replies using an AI model (Claude, by Anthropic). These texts may contain errors. For each type of reply, you choose whether the agent sends on its own or you approve before sending, and you remain responsible for the messages sent in your name.

6. Integrations

When you connect a third-party service (Google Calendar, CRM, automation tools…), Replexa acts within the permissions you grant it. Your use of those services remains subject to their own terms.

7. Data

You remain the owner of the data you import (leads, emails, content). For your prospects' personal data, Apophisia acts as a processor within the meaning of the GDPR and processes it only to provide the service. Details are in the privacy policy and in the data processing agreement [DPA to be drafted and linked here].

You can export your workspace data at any time. Once a workspace is deleted, its data is erased within [period], unless the law requires it to be kept.

8. Availability

Apophisia makes its best efforts to keep Replexa available at all times, without guaranteeing uninterrupted availability. Interruptions may occur for maintenance or when a provider has an outage.

9. Liability

Apophisia's liability is limited to direct, proven damage and capped at the amount paid for the service over the last [12] months. Apophisia is not responsible for email deliverability, which also depends on your domains, your mailboxes and your content.

10. Changes to these terms

These terms may change. You will be notified by email at least 30 days before any significant change takes effect.

11. Governing law

These terms are governed by [Luxembourg / French law, to be decided]. In the event of a dispute, the parties will first seek an amicable solution; failing that, the courts of [city] have jurisdiction.
